Terms of Service

Please read these Terms carefully before using s5.video. By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, do not use s5.video.

01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (individually or on behalf of an organisation, "you") and s5.video Inc. ("s5.video", "we", "us", or "our") governing your access to and use of the s5.video platform, including all associated services, APIs, SDKs, documentation, and websites (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old (or the legal age of majority in your jurisdiction), have the legal capacity to enter into these Terms, and agree to abide by them.

02 Account Registration

To access most features of the Service, you must register for an account. You agree to:

s5.video reserves the right to suspend or terminate accounts that contain inaccurate information or are found to be used fraudulently.

03 Platform Services

s5.video provides a professional video hosting, live streaming, and interactive content platform. Core services include:

Service features and capabilities may vary by subscription plan. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

04 Content & Intellectual Property

Your Content. You retain full ownership of all video files, presentations, audio, and other materials you upload to s5.video ("Your Content"). By uploading, you grant s5.video a limited, non-exclusive, royalty-free licence to host, transcode, cache, and deliver Your Content solely to operate the Service as directed by you.

Our Platform. The s5.video platform, including its software, design, trademarks, logos (including the Amber Glass identity system), and documentation, is owned by s5.video Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our platform without prior written consent.

Content Responsibility. You represent and warrant that You hold all necessary rights, licences, and permissions to upload Your Content, and that it does not infringe any third-party rights or applicable laws.

You must not upload content that violates copyright, contains unlawful material, or infringes upon the rights of others. Repeat copyright infringement will result in immediate account termination.

You agree not to use the Service to:

06 Subscription & Billing

Access to certain features requires a paid subscription. By subscribing, you agree to pay all fees associated with your chosen plan. Fees are billed in advance on a monthly or annual cycle as selected at sign-up.

07 Service Availability

We aim to maintain high platform availability and publish an uptime SLA in your service agreement. However, we do not guarantee uninterrupted, error-free service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors outside our reasonable control, including internet infrastructure failures, DDoS attacks, or force majeure events.

08 Limitation of Liability

To the maximum extent permitted by applicable law, s5.video and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising from these Terms or your use of the Service shall not exceed the total fees paid by you to s5.video in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

09 Termination

You may terminate your account at any time via the account dashboard or by contacting support@s5.video. Upon termination, your right to access the Service ceases immediately. We will retain your content for 30 days post-termination to allow for data export, after which it will be permanently deleted.

We may terminate or suspend your account at any time, with or without notice, for violation of these Terms, conduct that is harmful to other users or the platform, or for any other reason at our sole discretion. Termination for cause will not entitle you to a refund.

10 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

Notwithstanding the above, s5.video reserves the right to seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.

11 Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The most current version will always be available at s5.video/terms.
